Terms of Service

These Terms of Service (“Terms”) govern access to and use of Scanlayer (“Service”) provided by us (“Scanlayer”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Scanlayer enables organizations to create dynamic smart links, manage physical placements (QR/NFC), configure routing rules, view analytics, and—where enabled—operate event guest experiences such as photo albums and invitations.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for safeguarding credentials and for all activity under your account. Provide accurate registration information and notify us promptly of unauthorized use.

3. Customer responsibilities

  • You control smart link destinations, placements, rules, and guest-facing content.
  • You must have lawful grounds to collect and process data about your visitors and guests, including compliance with privacy laws and venue policies.
  • You will not use the Service for unlawful, deceptive, harassing, or infringing activity.
  • You are responsible for signage, consent, and notices at physical touchpoints (tables, entrances, events, etc.).

4. Acceptable use

You may not: reverse engineer the Service except as permitted by law; probe or disrupt our systems; resell the Service without authorization; upload malware; send spam through our infrastructure; circumvent rate limits or security; or use the Service to distribute illegal content.

We may suspend or terminate access for violations or risks to the platform or others.

5. Plans, fees, and trials

Paid features, limits, and pricing are described on our website or order form. Fees are billed in advance unless stated otherwise. Taxes may apply. We may change prices with notice for renewal periods. Free tiers may be modified or discontinued with reasonable notice.

6. Intellectual property

We retain all rights in the Service, software, branding, and documentation. You retain rights in your content. You grant us a limited license to host, process, and display your content solely to operate and improve the Service.

7. Guest content and events

When you enable guest uploads or albums, you represent that you have rights to permit such collection and that you will handle takedown requests appropriately. We may remove content that violates law, these Terms, or acceptable use policies.

8. Analytics and disclaimers

Analytics and routing depend on device behavior, network conditions, and configuration. Metrics are provided for operational insight and may be approximate. We do not guarantee specific business outcomes from placements or campaigns.

9. Confidentiality and security

Each party will protect the other’s confidential information with reasonable care. We implement safeguards described in our Privacy Policy; you are responsible for securing your account and exported data.

10. Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU USE A FREE TIER).

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

12. Indemnity

You will defend and indemnify us against claims arising from your content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

13. Term and termination

Either party may terminate for material breach not cured within 30 days of notice. You may stop using the Service at any time. Upon termination, your right to access ends; we may delete data after a reasonable period subject to legal retention obligations.

14. Governing law

These Terms are governed by the laws of the jurisdiction where Scanlayer is established, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive venue for disputes, unless local law requires a different forum.

15. Changes

We may update these Terms. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
